Terms of Service

By accessing or using the Foundro platform ("Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you may not use the Platform.

We reserve the right to update these Terms at any time. We will notify registered users of material changes by email or a prominent notice on the Platform. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms.

To use the Platform, you must be at least 18 years of age and capable of forming a legally binding agreement. By creating an account, you represent that you are at least 18 years old.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@foundro.com if you become aware of any unauthorized access to your account.

You may not create accounts using automated means or create accounts under false pretenses. We reserve the right to terminate accounts that violate these conditions.

Founders who list startups on the Platform are solely responsible for the accuracy, completeness, and truthfulness of their startup profile information, including financial metrics, team credentials, and business descriptions.

False or misleading information in startup listings is strictly prohibited and may result in immediate removal and account termination. Foundro does not independently verify all claims made in startup listings.

Investors who create profiles acknowledge that they are responsible for their own investment decisions. Foundro does not provide investment advice and is not a registered investment advisor, broker-dealer, or securities exchange.

You agree NOT to:

• Post false, misleading, or fraudulent content on the Platform • Engage in market manipulation or deceptive investment practices • Harvest or scrape user data without express written permission • Use the Platform to send spam, unsolicited messages, or conduct phishing • Circumvent, disable, or interfere with security features of the Platform • Use the Platform to promote unlawful activities or violate applicable securities laws • Impersonate other users, investors, or Foundro personnel • Attempt to gain unauthorized access to other users' accounts or our systems

The Foundro name, logo, platform software, design, and all content we create are protected by copyright, trademark, and other intellectual property laws. You may not copy, distribute, or create derivative works from our proprietary content without express written permission.

By posting content to the Platform (startup descriptions, team bios, business plans, etc.), you grant Foundro a non-exclusive, royalty-free, worldwide license to display, distribute, and promote that content in connection with operating the Platform and marketing our services.

You retain ownership of all content you post. You represent that you have the right to post such content and that it does not infringe any third-party intellectual property rights.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. FOUNDRO DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

FOUNDRO IS NOT RESPONSIBLE FOR ANY INVESTMENT DECISIONS MADE BY USERS BASED ON INFORMATION AVAILABLE ON THE PLATFORM. INVESTING IN STARTUPS INVOLVES SIGNIFICANT RISKS, INCLUDING THE RISK OF TOTAL LOSS OF INVESTED CAPITAL.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOUNDRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising under these Terms that cannot be resolved informally shall be submitted to binding arbitration under the rules of the Lagos Court of Arbitration. The arbitration shall be conducted in Lagos, Nigeria, in the English language.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending resolution of a dispute.
